Contributor licence agreement

This agreement is between you and Cognostem Ltd (“the Maintainer”), which runs the xc project (“the Project”). It covers every Contribution you submit to the Project, now or later. By signing it you accept its terms for all of them.

You keep the copyright in your Contributions. This agreement grants licences; it does not transfer ownership.

“You” means the person signing this agreement. If you contribute as part of your job, your employer may own your work instead; see section 5.

“Contribution” means any original work of authorship, including changes or additions to existing work, that you intentionally submit to the Project for inclusion: by pull request, patch, issue, email or any other way, in writing or electronically. Anything you mark in writing as “Not a Contribution” is excluded.

You grant the Maintainer a perpetual, worldwide, non-exclusive, free of charge, royalty-free, irrevocable licence to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense and distribute your Contributions and derivative works of them, under any licence terms, including commercial ones.

This licence is granted to the Maintainer only. Everyone else receives your Contributions under the open-source licence of the tree they went into, as part of the Project, and may use and distribute them only on that licence’s terms.

You grant the Maintainer, and anyone who receives software distributed by the Project, a perpetual, worldwide, non-exclusive, free of charge, royalty-free, irrevocable patent licence to make, have made, use, offer to sell, sell, import and otherwise transfer your Contributions, where that licence applies only to patent claims you can license that are necessarily infringed by your Contribution alone, or by its combination with the work it was submitted to.

If anyone starts patent litigation (including a cross-claim or counterclaim) alleging that your Contribution, or the work it was submitted to, infringes a patent, any patent licence granted to that party under this agreement for that Contribution ends on the date the litigation is filed.

4. Commercial licences, and the Project’s commitment

Section titled “4. Commercial licences, and the Project’s commitment”

The Maintainer may also offer the Project, including your Contributions, under separate commercial licences, for example to a company that wants to distribute it on terms other than the open-source licence.

In return, the Maintainer agrees that every Contribution included in a release will always remain available to everyone under the open-source licence of the tree it went into, or another licence approved by the Open Source Initiative. A commercial licence is offered alongside the open-source one, never instead of it.

  • You are legally entitled to grant these licences.
  • If your employer has rights in what you create, you have permission from them to make your Contributions on its behalf, or your employer has waived those rights, or has signed a corporate CLA with the Project.
  • Each Contribution is your original creation, apart from any third-party material you identify (see section 7).
  • To your knowledge, your Contributions include no third-party material that you have not identified, and no patent or licence restriction you have not disclosed.
  • If you used AI tools to produce part of a Contribution, you have reviewed that part and have the right to submit it under this agreement.

You do not have to provide support for your Contributions. Unless you agree in writing, or the law requires it, your Contributions are provided “as is”, without warranties or conditions of any kind, including title, non-infringement, merchantability or fitness for a particular purpose.

If you want to submit work that is not your original creation, submit it separately, and say in the submission where it comes from, its licence, and any restrictions you know of, marked as “Submitted on behalf of a third party: [name]“.

You agree to tell the Maintainer if you learn that anything you confirmed in this agreement has become untrue.

This agreement is governed by the law of England and Wales.
